Terms of Use - Releasit

These Terms govern your use of the Releasit website (releas.it), the store-builder service at store.releas.it, and the Releasit apps for Shopify and Tiendanube — COD Form & Upsells, Cash On Delivery (COD Fee) and Bundles & Upsells — (together, the "Services"), provided by Shop Circle Ltd, 25 Eccleston Place, London, United Kingdom, SW1W 9NF ("Releasit", "we", "us"). By installing or using any of the Services you agree to these Terms, our Privacy Policy and, where we process your customers' personal data, our Data Processing Addendum ("DPA"). The DPA prevails on the processing of personal data; otherwise these Terms prevail over the other documents.

Your store platform's own terms — the Shopify Terms of Service and App Store terms, or the Tiendanube terms — also apply to your use of the platform and its app store. Where they conflict with these Terms on billing or app-store matters, the platform's terms govern.

1. Eligibility

You must be at least 18, able to enter a binding contract, using the Services for a business, and not subject to UK, EU, US or UN sanctions that prohibit your use. You must keep the account and contact information you give us accurate. We may refuse service or close an account that does not meet these conditions.

2. Plans and billing

The apps are offered on plans set out on each app's listing, including free plans and paid plans priced by monthly order volume or other usage, billed monthly or annually.

  • Billing is handled by your store platform. Charges appear on your Shopify or Tiendanube bill under the platform's billing terms. We do not collect card details.
  • Usage limits. If your usage exceeds your plan's limit, the app will ask you to upgrade; some features may pause until you do.
  • Changes to prices or plans. We may change plans and prices. Changes take effect at your next billing cycle after we give you at least 30 days' notice in the app or by email; you may cancel before they take effect.
  • Cancellation. You cancel by uninstalling the app or downgrading in the app. Charges already incurred for the current billing period are not refunded except where the platform's terms or the law require it. Annual plans are not refunded for unused months.
  • Free plans may be changed or withdrawn on 30 days' notice.

3. Your account

You are responsible for everything done through your account and store, including by staff and collaborators you give access to. Keep your credentials confidential and tell us immediately at support@releas.it if you suspect unauthorised access.

4. Acceptable use

You must use the Services lawfully and only for their intended purpose. In particular, you must:

  • have the consent or other lawful basis required to send SMS, WhatsApp or other messages to your customers through the Services, and comply with the rules of the messaging channels you use;
  • not use the Services for fraud, deception, or the sale of goods or services that are illegal in the markets you sell into;
  • not upload content that infringes anyone's intellectual property, privacy or other rights (see our Copyright and IP Complaints page);
  • not copy, modify, reverse-engineer, resell or sublicense the Services, interfere with their operation, or access them by automated means other than the interfaces we provide;
  • comply with your store platform's rules and with the laws that apply to your store.

We may suspend or remove content or access that we reasonably believe breaches this section.

5. Your customers and their data

You are the controller of your customers' personal data. You are responsible for your own privacy notice, for the lawful basis of what you collect through the Services, and for the features, channels, coverage rules and marketing pixels you choose to enable. We process that data as your processor under the DPA.

6. Intellectual property and data

The Services, their code, design and content belong to Shop Circle Ltd and its licensors. We grant you a non-exclusive, non-transferable right to use the Services for your store while these Terms apply. You keep ownership of the content you upload and grant us the right to host, display and process it to provide the Services.

We may use data about how the Services are used, and aggregated or de-identified data derived from orders processed through them that no longer identifies any person or store, to operate, secure, improve and develop our products and to produce market and benchmark statistics. We will not disclose such data in a form that identifies you or your customers.

7. Third-party services

The Services integrate with your store platform, messaging providers, Google Sheets, marketing pixels and other services you choose to connect, and store.releas.it is provided with a third-party store-builder provider. Those services are governed by their own terms and we are not responsible for them.

8. Affiliates and partners

The Releasit affiliate and partner programmes are governed by their own terms, which apply in addition to these.

9. Availability and support

We aim to keep the Services available and to fix material defects, but the Services are provided "as is" and we do not guarantee uninterrupted or error-free operation, or that they will meet your requirements or produce any particular sales result. Support is provided through the channels shown in the app.

10. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that, we are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss, however arising. Our total liability to you under or in connection with these Terms is limited to the subscription fees you paid us for the Services in the three months before the event giving rise to the claim, or £100 if you paid nothing.

You will indemnify us against claims by third parties arising from your content, your store, your use of the Services in breach of these Terms, or your messages to customers.

11. Suspension and termination

You may stop using the Services at any time by uninstalling the apps. We may suspend or terminate your access with notice if you breach these Terms, if required by law or your platform, or if we withdraw a Service, and without notice where a breach is serious or creates risk to us, other merchants or customers. On termination your right to use the Services ends; your data is deleted as described in the Privacy Policy and DPA.

12. Changes

We may change these Terms. For material changes we will give at least 30 days' notice in the app or by email; other changes take effect when posted. Continued use after the effective date means you accept the change. If you do not, uninstall the apps before that date.

13. General

These Terms, the Privacy Policy, the DPA and any programme terms referred to above are the entire agreement between us for the Services and replace any earlier terms. If any provision is unenforceable the rest remains in effect. A failure to enforce a right is not a waiver of it. You may not transfer these Terms; we may transfer them within the Shop Circle group or to a successor to the business. These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without affecting any mandatory consumer or local-law protections that apply to you.
